Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Dukonix mobile application, website, public catalogs, and related integrations, including the Dukonix plugin for ChatGPT (the "Service"), operated by Dukonix ("we", "us", or "our").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old (or the legal age in your jurisdiction) to use the Service.

By using the Service, you represent that you have the legal authority to enter into these Terms.

3. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful business and commercial purposes, subject to these Terms.

Dukonix provides an online catalog that lets customers discover products and contact the merchant. Purchases are arranged directly with the merchant. Dukonix does not take payments for catalog products, confirm orders, calculate delivery, or report completed sales. A customer inquiry is a message to the merchant, not a confirmed order.

You agree not to:

Copy, modify, reverse engineer, or distribute the Service
Attempt to bypass security or access restricted systems
Use the Service for illegal, fraudulent, or abusive purposes
Interfere with or disrupt the Service or its infrastructure
Use the Service to violate third-party rights or applicable laws

We reserve all rights not expressly granted.

4. User Accounts

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities performed under your account
Ensuring the accuracy of information you provide

We are not responsible for unauthorized access caused by your failure to secure your credentials.

5. User Data and Content

5.1 Ownership

You retain ownership of all data, content, and information you upload or generate using the Service ("User Content").

5.2 License to Dukonix

By using the Service, you grant Dukonix a worldwide, non-exclusive, royalty-free license to:

Store, process, transmit, and display User Content
Use User Content solely to operate, maintain, and improve the Service

This license ends when your account is deleted, except where retention is required by law.

5.3 User Responsibility

You are solely responsible for:

The legality, accuracy, and appropriateness of User Content
Ensuring you have rights and permissions to upload customer or third-party data
Compliance with applicable data protection and consumer laws

Dukonix acts as a technical service provider, not a data owner.

6. Subscriptions and Billing

6.1 Free and Paid Plans

Dukonix offers both free and paid subscription plans. Certain features of the Service are only available to users with an active paid subscription ("Dukonix Pro").

Details of available plans and pricing are displayed in the app at the time of purchase.

6.2 Billing and Renewal

Paid subscriptions are billed through the Apple App Store or Google Play Store ("Platform Stores"). By subscribing, you agree to:

The pricing and billing terms presented at the time of purchase
Automatic renewal at the end of each billing cycle unless cancelled before the renewal date
Payment being charged to your Platform Store account

Subscription management, including billing inquiries, is handled by the respective Platform Store, not by Dukonix directly.

6.3 Cancellation

You may cancel your subscription at any time through your Platform Store account settings. Upon cancellation:

You will retain access to paid features until the end of your current billing period
No further charges will be made after the current period ends
Your account will revert to the free plan with its corresponding feature limitations

6.4 Refunds

All purchases are processed by the Platform Stores. Refund requests must be submitted directly to Apple or Google in accordance with their respective refund policies.

Dukonix does not have the ability to issue refunds for purchases made through the Platform Stores.

6.5 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated in advance through the app or Platform Store, and will apply to the next billing cycle following notice.

7. Prohibited Content and Use

You may not use the Service to store, transmit, or process:

Illegal or fraudulent content
Content that infringes intellectual property rights
Malware, harmful code, or abusive material
Personal data collected unlawfully

We reserve the right to remove content or suspend accounts that violate these Terms.

8. Service Availability and Changes

The Service is provided on an "as is" and "as available" basis.

We do not guarantee:

Continuous availability
Error-free operation
Data accuracy or completeness

We may modify, suspend, or discontinue any part of the Service at any time without liability.

9. Third-Party Services

The Service may integrate with third-party tools or services.

We are not responsible for:

Third-party services, content, or availability
Data handling practices of third parties
Any damages caused by third-party integrations

Your use of third-party services is governed by their own terms.

9.1 Dukonix in ChatGPT

The Dukonix plugin is an optional way to work with your catalog in ChatGPT. You need an existing Dukonix account with the Owner role and authority to connect the selected shop. Access is limited to that shop and the permissions granted to the connection. Catalog changes and photo attachment are available only when enabled for the connection and remain subject to the shop's product limits.

Using the plugin sends requested catalog information, including hidden products where relevant, to OpenAI. The data handling described in our Privacy Policy applies to this connection. Your use of ChatGPT is also subject to OpenAI's applicable terms and policies.

9.2 Reviewing Catalog Changes

A request in ChatGPT prepares a review; it does not by itself save a catalog change. Creating a product, updating product details, or changing visibility requires your approval through the Dukonix review card. Each change requires its own review. Expired reviews or reviews that no longer match the current product must be prepared again.

Before approving, check the selected shop, product, price, currency, availability, visibility, text, and any photo shown in the review. AI-generated suggestions may be inaccurate. You are responsible for the content and changes you approve and for having permission to use uploaded photos. Approved changes can overwrite existing product details or change what customers see in your public catalog.

9.3 Disconnecting ChatGPT

You may revoke the connection in Dukonix under Settings, Connected apps, and disconnect the plugin in ChatGPT. Revocation prevents further use of that connection; it does not reverse approved changes, delete saved products or photos, or delete information already shared with OpenAI. Use the relevant service's controls or contact support for data requests.

10. Termination

We may suspend or terminate your access to the Service at any time if:

You violate these Terms
Your use poses security, legal, or operational risk
Required by law or regulation

You may stop using the Service at any time by deleting your account.

11. Disclaimer of Warranties

To the maximum extent permitted by law, Dukonix disclaims all warranties, express or implied, including but not limited to:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of data

Your use of the Service is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law:

Dukonix shall not be liable for indirect, incidental, consequential, special, or punitive damages
Dukonix shall not be liable for data loss, business interruption, or lost profits
Total liability shall not exceed the amount you paid to Dukonix (if any) in the last 12 months

Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

13. Indemnification

You agree to indemnify and hold harmless Dukonix from any claims, damages, liabilities, and expenses arising from:

Your use of the Service
Your User Content
Your violation of laws or third-party rights
Your breach of these Terms

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction where Dukonix operates, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
